  • The Civil Code of the Republic of Lithuania
ESTABLISHMENT:
  • The memorandum of association or the act of establishment of small partnership are drawn up. If the founder of small partnership is a single person, the act of establishment must be drawn up.
  • The founders may submit to the Register of Legal Entities an application (Form JAR-5) for temporary inclusion of the name of small partnerships into the Register.
  • The statutes of the small partnership are prepared.
  • The Management bodies of partnership are formed by the statute of partnership.
  • The small partnership is deemed to have been established upon registration thereof with the Register of Legal Entities.

REGISTRATION:

Prior to submitting the application for registration of the small partnership to the Administration of the Register, the civil law notary must verify of the particulars entered into the application, the compliance of the statutes with the statutory requirements and the fact that the small partnership is eligible for registration.
