LEGAL ENTITY: Branches or representative offices of foreign legal entities

LEGAL REGULATION ESTABLISHMENT REGISTRATION

Before the application for registration of the branch or the representative office of foreign legal entities is submitted to the Administrator of the Register, the civil law notary must verify the correctness of the particulars entered into the application, the compliance of the statutes with the statutory requirements and the fact that the branch or the representative office of foreign legal entities is eligible for registration.


Documents to be submitted to the State Enterprise Centre of Registers:

1. The regulations
2. An establishment document of the founder, the instrument of incorporation and the statutes, if these are different documents, and amendments thereto
3. Financial statements of the founder for the year ended and, in cases laid down in the laws, consolidated financial statements if such statements are required under the laws of a foreign state applicable to the founder
4. A copy of the certificate of registration of the founder or an extract from the register where the founder’s file is stored
